Legal
Terms of Service
These Terms of Service (“Terms”) govern access to and use of DataSheets Pro, including our websites, applications, document-building tools, templates, exports, integrations, demos, and related services (collectively, the “Service”).
These Terms are a legal agreement between you and DataSheets Pro LLC (“DataSheets Pro,” “we,” “us,” or “our”).
By creating an account, purchasing a subscription, clicking to accept these Terms, or accessing or using the Service in a manner that requires acceptance of these Terms, you agree to be bound by them. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
1. Eligibility and Business Use
The Service is intended primarily for business and professional use.
You must be at least 18 years old, or the legal age required to enter into a binding agreement in your jurisdiction, to create an account or purchase the Service.
If you use the Service for an employer, customer, or other organization, that organization may be the Customer for the applicable workspace and may control the workspace, Authorized Users, and Customer Content associated with it.
Nothing in these Terms limits rights that cannot lawfully be waived.
2. Definitions
For these Terms:
- “Customer” means the individual or organization that creates, purchases, owns, or controls a DataSheets Pro workspace.
- “Authorized User” means an employee, contractor, agent, or other person whom a Customer permits to access its workspace.
- “Seat” means access assigned to one named Authorized User under a subscription that includes user-based access.
- “Customer Content” means documents, data, product information, specifications, tables, images, logos, brand assets, files, spreadsheets, source materials, custom templates, text, and other materials that a Customer or Authorized User uploads, enters, imports, creates, or stores through the Service.
- “Output” means a document, PDF, report, file, template, or other material generated or produced using the Service.
- “Service Usage Data” means technical, operational, analytics, performance, and interaction data generated through use of the Service, excluding Customer Content itself.
- “DataSheets Pro Materials” means the Service itself and the software, interfaces, functionality, template framework, design systems, documentation, graphics, trademarks, and other materials provided by DataSheets Pro, excluding Customer Content.
3. Accounts, Workspaces, and Authorized Users
You must provide accurate and complete information when creating an account and keep that information current.
You are responsible for:
- maintaining the confidentiality of your login credentials;
- using reasonable safeguards to prevent unauthorized access;
- activity occurring through your account to the extent permitted by law; and
- notifying us promptly if you believe an account or workspace has been compromised.
Individual login credentials may not be shared between multiple people.
Seats
Each Seat is assigned to one named Authorized User.
Customers may reassign Seats when employees, contractors, or other users leave, change roles, or no longer require access.
Customers may not rotate a single Seat among multiple people for the purpose of avoiding applicable Seat requirements or fees.
Organization Workspaces
A Customer may designate one or more workspace administrators.
Administrators may be able to:
- invite or remove Authorized Users;
- assign roles and permissions;
- access documents and Customer Content stored in the workspace;
- manage subscriptions and billing;
- transfer or reassign documents;
- manage templates and brand settings;
- change workspace settings; and
- delete or export Customer Content.
If you use an account provided by your employer or another organization, that organization may control the workspace and Customer Content associated with it.
DataSheets Pro does not determine ownership rights between an organization and its employees, contractors, customers, or other users. Disputes concerning ownership or control between those parties are their responsibility.
4. License to Use the Service
Subject to these Terms and payment of applicable fees, DataSheets Pro grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during the applicable subscription term for lawful business or professional purposes.
You may use Outputs created through the Service for legitimate business purposes, including distributing, publishing, printing, modifying, storing, submitting, or providing those Outputs to customers, suppliers, regulators, distributors, employees, or other third parties.
This license does not transfer ownership of the Service or DataSheets Pro Materials.
5. Subscriptions, Billing, and Automatic Renewal
Certain features of the Service require a paid subscription.
Current plans, prices, billing intervals, usage limits, Seat allowances, included features, and other commercial terms are shown on our pricing page, at checkout, in an applicable order form, or within the Service.
Billing
Paid subscriptions are generally billed in advance on a monthly, annual, or other stated billing cycle.
You authorize us and our payment processor to charge the payment method associated with your account for subscription fees, applicable taxes, additional Seats, usage charges, or other amounts you agree to purchase.
Automatic Renewal
Unless canceled before the applicable renewal date, a paid subscription automatically renews for another subscription period of the same duration, or as otherwise disclosed when purchased.
We will provide renewal notices when required by applicable law.
You may cancel an automatically renewing subscription using the cancellation methods made available through the Service or otherwise identified in your account or purchase confirmation.
Cancellation
You may cancel a subscription at any time.
Unless otherwise stated, cancellation takes effect at the end of the then-current paid billing period, and you may continue using applicable paid features until that date.
Canceling a subscription does not automatically delete your account or Customer Content.
Refunds
Except where required by law, expressly stated in an applicable order form, or otherwise agreed by DataSheets Pro in writing, payments are non-refundable and we do not provide refunds or credits for partially used billing periods.
Upgrades
Upgrades may take effect immediately.
Additional charges may be prorated for the remainder of the current billing period.
Downgrades
Unless otherwise stated, downgrades take effect at the beginning of the next billing period.
A downgrade may reduce available features, limits, storage, Seats, version-history access, import functionality, collaboration features, automation, or other functionality.
Customer Content will not be deleted solely because a Customer downgrades to a plan with lower limits.
Where the Customer’s existing usage exceeds limits available under the downgraded plan, we may restrict access to affected features, make certain content or historical records unavailable, or require the Customer to reduce usage.
If continued storage of Customer Content above an applicable limit cannot reasonably be supported, we will provide reasonable notice and an opportunity to export affected Customer Content before deletion, except where immediate action is required for security, legal, fraud, or abuse-related reasons.
Version History After Downgrade
Each plan retains a limited number of saved versions per document. If a downgrade reduces that number to a smaller non-zero limit, version records beyond the new plan’s limit are deleted the next time the document is saved, and cannot be recovered by later upgrading. If a downgrade is to a plan with no version history, existing version records are kept but are inaccessible until the account is on an eligible plan again. Keep a copy of any earlier version you need before downgrading.
Failed Payments
If payment fails or becomes overdue, we may retry the payment method and may restrict the applicable workspace.
Where supported by the Service, a delinquent workspace may become read-only so existing Customer Content remains accessible while creation, editing, exporting, collaboration, or other paid functionality is restricted.
We may suspend or terminate access for prolonged non-payment after reasonable notice.
Price Changes
We may change subscription prices from time to time.
Price changes generally apply beginning with a future renewal period unless otherwise disclosed.
We will provide advance notice when required by law or when we determine a change is material.
Taxes
Fees do not include taxes unless expressly stated otherwise.
You are responsible for applicable sales, use, value-added, withholding, or similar taxes, except taxes based on DataSheets Pro’s net income.
6. Usage Limits
Plans may include limits relating to:
- number of documents;
- storage;
- Seats;
- imports;
- exports;
- templates;
- version-history access;
- collaboration features;
- automation;
- AI-assisted functionality; or
- other usage or entitlement limits.
Applicable limits are shown on the pricing page, in your account, at checkout, in an applicable order form, or within the Service.
If you exceed a plan limit, we may:
- prevent creation of additional content;
- restrict use of the affected feature;
- make affected functionality read-only;
- restrict access to content exceeding an applicable entitlement;
- require deletion or cleanup of excess usage; or
- require an upgrade to continue using the affected functionality.
Exceeding a plan limit will not, by itself, cause existing Customer Content to be deleted.
If remediation of excess usage requires deletion of Customer Content, we will provide reasonable notice and an opportunity to export affected Customer Content before deletion, except where immediate action is required for security, legal, fraud, or abuse-related reasons.
7. Free Plans, Trials, Promotions, and Demos
We may offer free plans, trials, beta access, promotional pricing, discounts, credits, or other offers.
Additional terms may apply.
We may modify or discontinue free plans, trials, promotions, or discounts but will not retroactively increase charges for an already-paid subscription period.
Where a free trial automatically converts to a paid subscription, we will disclose the applicable price, billing timing, and cancellation terms before the paid subscription begins, as required by applicable law.
No-Signup or Public Demos
We may provide demonstrations of the Service that do not require creation of a full account.
Demo environments are intended for evaluation only.
Unless expressly stated otherwise:
- demo content may be temporary;
- demo content may be reset, overwritten, or deleted at any time;
- demo content is not treated as Customer Content under these Terms and may not be retained after the demo session or environment is reset;
- demo environments may contain sample or fictional data;
- demo functionality may differ from production functionality;
- demo exports may contain watermarks or other restrictions; and
- demo Outputs should not be relied upon as final production, controlled, compliance, regulatory, or customer-facing documents.
Do not upload sensitive, confidential, regulated, proprietary, or production-critical information into a demo environment unless we expressly state that the environment is designed for that purpose.
8. Customer Content
You retain ownership of Customer Content.
DataSheets Pro does not acquire ownership of your product information, documents, photographs, logos, specifications, custom templates, brand materials, files, or other Customer Content merely because you upload or create them through the Service.
You grant DataSheets Pro a limited, non-exclusive license to host, store, reproduce, process, transmit, display, format, convert, render, and otherwise use Customer Content only as reasonably necessary to:
- provide and operate the Service;
- create previews and Outputs;
- perform requested imports, conversions, mappings, or transformations;
- provide support;
- maintain security and prevent abuse;
- perform backups and disaster recovery;
- comply with applicable law; and
- carry out other instructions you provide through the Service.
This license ends when Customer Content is deleted from our active systems, except for copies temporarily retained in backups, logs, security records, or records we are legally required to preserve.
You represent that you have the rights and permissions necessary to upload, process, use, and distribute Customer Content through the Service.
9. Customer Templates, Brand Configurations, and Outputs
Customer-created templates, custom fields, brand configurations, uploaded logos, document content, custom styling choices, and other original materials supplied or created by a Customer are Customer Content.
DataSheets Pro may provide:
- base templates;
- reusable layouts;
- block types;
- section structures;
- rendering systems;
- document components;
- formatting systems; and
- other reusable design or software elements.
Those underlying DataSheets Pro Materials remain owned by DataSheets Pro.
If a Customer customizes a DataSheets Pro template using its brand assets, colors, content, configuration, sections, fields, or other settings, the Customer retains rights in its Customer Content and customer-specific configuration, while DataSheets Pro retains rights in the underlying template framework, software, reusable components, and DataSheets Pro Materials.
Using a DataSheets Pro template does not give DataSheets Pro ownership of Customer Content or the resulting customer-specific document.
As between you and DataSheets Pro, you may use, reproduce, distribute, publish, modify, print, and commercially use Outputs created through the Service, subject to:
- third-party rights in materials included in the Output;
- applicable law; and
- DataSheets Pro’s continuing ownership of the underlying Service and DataSheets Pro Materials.
These rights do not grant you the right to extract, copy, reverse engineer, or separately commercialize the underlying DataSheets Pro template engine, software, or proprietary template framework.
10. Imports, Source Data, Related Documents, and Automated Processing
The Service may allow you to import information from spreadsheets, CSV files, PDFs, documents, external systems, or other sources.
The Service may also allow information to be mapped, copied, reused, synchronized, inherited, transformed, or used to create related documents.
Features may include:
- source documents;
- source-of-truth relationships;
- linked information;
- field mapping;
- automated population;
- document duplication;
- document generation;
- inherited fields;
- related-document creation; or
- other data-reuse workflows.
You are responsible for reviewing all information produced through these processes.
DataSheets Pro does not independently verify that:
- imported source information is correct;
- mappings are complete or accurate;
- fields have been associated with the correct source data;
- one document contains information appropriate for another document;
- linked or inherited information remains current;
- a designated source document is authoritative;
- an automated transformation preserves every relevant detail; or
- a resulting Output satisfies its intended use.
Changing a source document, mapping, relationship, or source-of-truth designation may affect related information or documents.
You are responsible for reviewing affected documents before publishing, approving, releasing, certifying, submitting, or relying on them.
11. AI-Assisted and Automated Features
DataSheets Pro may offer artificial-intelligence, machine-learning, extraction, classification, mapping, summarization, recommendation, or other automated features.
Automated features may produce results that are:
- inaccurate;
- incomplete;
- outdated;
- duplicated;
- misleading;
- unexpected; or
- inappropriate for a particular use.
You must review and verify automated results before relying on them.
AI-assisted or automated content should not be treated as:
- verified technical data;
- engineering approval;
- legal advice;
- regulatory advice;
- safety advice;
- compliance certification;
- quality approval; or
- a substitute for review by a qualified person where such review is appropriate or required.
You remain responsible for determining whether an automated result is suitable for your intended purpose.
You must have sufficient rights to submit information to any automated feature you use.
AI Model Training
Unless a Customer expressly opts in or separately agrees otherwise, neither DataSheets Pro nor AI subprocessors acting on our behalf may use Customer Content to train generalized AI models for unrelated customers or unrelated third-party purposes.
We may process Customer Content using AI or automated service providers when necessary to provide a feature requested by the Customer.
Such processing is subject to our Privacy Policy, applicable contractual protections, and any Data Processing Addendum that applies.
12. Service Usage Data and Analytics
We may collect Service Usage Data relating to operation and use of the Service, including information about:
- feature usage;
- page and workflow interactions;
- performance;
- browser or device characteristics;
- errors;
- system events;
- usage frequency;
- feature adoption; and
- security activity.
We may use Service Usage Data to:
- operate the Service;
- maintain security;
- troubleshoot issues;
- provide support;
- measure performance;
- understand feature adoption;
- improve the Service; and
- develop new features.
We may also use aggregated or de-identified information for analytics, benchmarking, research, and product development, provided that such information does not reasonably identify a Customer, Authorized User, or Customer Content.
Service Usage Data does not give us ownership of Customer Content.
13. Privacy, Data Processing, and Security
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information and is incorporated into these Terms by reference.
Where required or agreed for certain business Customers, we may make a Data Processing Addendum (“DPA”) available.
We may maintain a list of material subprocessors used to provide the Service.
We use reasonable administrative, technical, and organizational safeguards designed to protect the Service and Customer Content.
No system, transmission method, or storage environment can be guaranteed to be completely secure.
You are responsible for determining whether the Service meets your organization’s security, confidentiality, regulatory, information-governance, and internal-policy requirements.
You are also responsible for maintaining any independent archival or backup copies required by your organization’s legal, regulatory, contractual, disaster-recovery, or records-retention requirements.
14. Confidentiality of Customer Content
We will treat non-public Customer Content as confidential and will not access, use, or disclose it except:
- to provide, maintain, secure, or support the Service;
- at your direction;
- through service providers acting on our behalf and subject to appropriate obligations;
- to investigate fraud, abuse, security incidents, or violations of these Terms;
- when required by applicable law, subpoena, court order, regulation, or governmental request; or
- when necessary to protect the rights, safety, property, or security of DataSheets Pro, our Customers, or others, as permitted by law.
Where legally permitted, we may notify an affected Customer of a governmental demand for Customer Content.
These confidentiality obligations do not apply to information that:
- becomes public through no breach by DataSheets Pro;
- was lawfully known to us without confidentiality obligations;
- was independently developed without use of the Customer’s confidential information; or
- was lawfully received from a third party without confidentiality restrictions.
15. Acceptable Use
You may not use the Service to:
- violate applicable law or regulation;
- infringe another person’s intellectual-property, privacy, confidentiality, publicity, or other rights;
- create, publish, certify, or distribute fraudulent or intentionally deceptive documents;
- impersonate another person or organization;
- upload malware or harmful code;
- gain or attempt to gain unauthorized access to accounts, workspaces, systems, or data;
- bypass authentication, permissions, feature restrictions, rate limits, usage limits, or subscription controls;
- probe, scan, or test the vulnerability of the Service without authorization;
- interfere with or disrupt the Service or its infrastructure;
- scrape or extract information in a manner that materially burdens the Service or violates these Terms;
- reverse engineer, decompile, disassemble, or attempt to derive source code except where such restrictions are prohibited by law;
- copy or reproduce substantial portions of the Service to create or train a competing product;
- resell, sublicense, lease, or provide the Service to third parties except through an authorized agreement; or
- use another person’s credentials without authorization.
We may investigate suspected violations and may suspend or restrict access when reasonably necessary to protect the Service or others.
16. DataSheets Pro Intellectual Property
The Service and DataSheets Pro Materials are owned by DataSheets Pro LLC or its licensors and are protected by intellectual-property laws.
Except for the limited rights expressly granted under these Terms, we retain all rights, title, and interest in the Service and DataSheets Pro Materials.
DataSheets Pro names, logos, trademarks, and related branding may not be used in a way that suggests endorsement, affiliation, or sponsorship without permission.
Nothing in these Terms transfers ownership of Customer Content to DataSheets Pro.
17. Customer Names and Logos
DataSheets Pro will not publicly use a Customer’s name, logo, trademarks, or branding to identify the Customer as a customer, reference, case study, or endorsement without permission.
Permission may be provided through an order form, written approval, account setting, marketing release, or other express authorization.
Any permission may be subject to reasonable brand-use requirements supplied by the Customer.
18. Feedback
If you voluntarily provide suggestions, ideas, feature requests, recommendations, or other feedback about the Service, you grant DataSheets Pro the right to use that feedback without restriction or compensation.
This does not give DataSheets Pro ownership of Customer Content or confidential business materials merely because they accompany feedback.
19. Third-Party Services and Integrations
The Service relies on third-party infrastructure and service providers for functions such as:
- hosting;
- databases;
- authentication;
- storage;
- communications;
- analytics;
- payments;
- support; and
- automated processing.
Our use of these providers does not mean you have independently agreed to their consumer terms merely because they operate infrastructure used by DataSheets Pro.
The Service may also allow you to connect directly with third-party products or integrations that you choose to use.
Your direct use of third-party integrations may be governed by those providers’ terms and privacy practices.
DataSheets Pro is not responsible for third-party products that are outside our control.
We may add, replace, change, or discontinue providers or integrations as the Service evolves.
20. Beta, Preview, Early-Access, and Roadmap Features
We may offer features identified as:
- beta;
- preview;
- experimental;
- early access;
- pilot; or
- similar.
These features may:
- be incomplete;
- contain errors;
- change substantially;
- have limited support;
- be subject to additional terms; or
- be discontinued.
Unless expressly stated otherwise, beta and preview features are provided without commitments regarding availability, functionality, performance, or continued support.
Coming-Soon and Roadmap Features
Features described as “coming soon,” “planned,” “in development,” “roadmap,” or similar represent our current intentions only.
They are not contractual commitments or guarantees regarding:
- delivery;
- timing;
- final functionality;
- availability;
- pricing; or
- inclusion in a particular plan.
A feature labeled as coming soon, planned, roadmap, preview, or in development is not included as an available subscription feature unless and until it becomes available under the applicable plan.
You should not rely on roadmap or coming-soon features as the sole basis for a purchasing decision.
21. Availability and Changes to the Service
We work to keep the Service available and reliable, but uninterrupted operation cannot be guaranteed.
We may maintain, update, modify, enhance, replace, or discontinue parts of the Service.
Where a change materially reduces core functionality included in a paid subscription, we will make commercially reasonable efforts to provide advance notice when practicable.
Unless an applicable order form or separate agreement includes a service-level commitment, these Terms do not create a guaranteed uptime or response-time obligation.
22. Templates, Technical Documents, and Controlled Documents
DataSheets Pro is a product documentation platform designed to help Customers create, manage, organize, reuse, and export structured business and product documentation.
The Service may provide templates or tools for product, technical, engineering, manufacturing, commercial, quality, safety, regulatory, compliance, or other document types made available through the Service from time to time.
Templates Are Starting Points
Templates and document structures provided through the Service are tools intended to improve document creation, consistency, formatting, and productivity.
They are not legal, regulatory, engineering, safety, quality, certification, or other professional advice.
A template’s availability does not mean that it:
- satisfies every applicable law or regulation;
- follows the latest official format;
- includes every required field or section;
- satisfies a particular industry standard;
- satisfies a customer’s internal procedure;
- satisfies a regulator or certification body;
- is appropriate for every jurisdiction;
- is appropriate for a specific product or material; or
- is suitable for a particular regulated or controlled use.
Customer Responsibility for Final Documents
Requirements may vary by product, industry, market, jurisdiction, regulator, certification body, standard, customer, company procedure, or intended use and may change over time.
You are solely responsible for verifying the accuracy, completeness, applicability, currency, approval status, and regulatory or contractual sufficiency of every document you create, approve, publish, distribute, certify, submit, or rely upon.
That responsibility includes verifying, where applicable:
- required sections and fields;
- technical values and specifications;
- chemical and safety information;
- regulatory classifications;
- material declarations;
- test data;
- product claims;
- warnings and instructions;
- revision and approval information;
- signatures;
- effective dates;
- standards and regulatory references;
- customer-specific requirements;
- official forms or mandated structures; and
- applicable retention or change-control requirements.
Safety, Regulatory, and Compliance Documents
Certain document types may be subject to specific laws, classifications, required structures, regulated content, jurisdiction-specific requirements, professional responsibilities, or formal approval processes.
DataSheets Pro may help structure, organize, reuse, map, or format information but does not independently:
- classify products, substances, or hazards;
- perform engineering calculations;
- perform toxicological analysis;
- determine regulatory applicability;
- certify compliance;
- verify testing;
- approve a product;
- inspect goods;
- validate technical claims; or
- determine whether professional review is required.
The Customer is responsible for ensuring that qualified personnel review and approve documents when required.
Certifications, Declarations, and Representations
Creating a certificate, declaration, compliance statement, test report, approval record, or similar Output through the Service does not cause DataSheets Pro to certify, inspect, approve, warrant, or verify the underlying product, information, or claim.
Any certification, declaration, attestation, signature, approval, or representation contained in an Output is made by the Customer or applicable issuing party, not by DataSheets Pro.
Quality and Change-Control Workflows
Version history, document relationships, approval fields, change records, source-of-truth functions, timestamps, permissions, and similar tools may assist with document-control processes.
Those features do not by themselves establish that a Customer has satisfied its quality-management, audit, validation, approval, recordkeeping, or change-control obligations.
Human Review Remains Required
DataSheets Pro provides a structured starting point and formatting help for producing and managing documents more efficiently.
It does not certify compliance or guarantee that any template or Output is complete, legally sufficient, or current.
To the fullest extent permitted by law, DataSheets Pro makes no warranty that any template or Output is complete, compliant, accurate, legally sufficient, regulator-approved, current, or suitable for a particular controlled or regulated purpose.
23. Electronic Records, Electronic Signatures, and Validated Systems
Unless DataSheets Pro expressly states otherwise in a separate written agreement applicable to a specific product or feature, the Service is not represented or warranted to constitute:
- a validated quality-management system;
- a regulatory submission system;
- a validated electronic-records system;
- an electronic-signature compliance solution;
- a records-management system satisfying every industry-specific retention requirement; or
- a system validated for FDA 21 CFR Part 11 or comparable electronic-record or electronic-signature requirements.
Features such as:
- user accounts;
- permissions;
- timestamps;
- version histories;
- approval fields;
- change records;
- audit-related information; or
- electronic acknowledgments
do not by themselves constitute regulatory validation, certification, or compliance.
If your use of the Service is subject to regulated electronic-record, electronic-signature, quality-system, validation, or retention requirements, you are responsible for determining whether the Service and your procedures, configuration, controls, validation activities, and use satisfy those requirements.
24. Suspension, Termination, Export, and Data Deletion
You may stop using the Service at any time.
We may suspend or terminate access if:
- you materially breach these Terms;
- required payments remain overdue;
- your use poses a security, legal, or operational risk;
- continued access could harm the Service or another person;
- we are required to do so by law; or
- we discontinue the Service.
Where appropriate, we will make reasonable efforts to provide notice and an opportunity to correct a breach before termination.
Immediate suspension may be necessary for:
- security incidents;
- fraud;
- unlawful activity;
- serious abuse; or
- risk of immediate harm.
Post-Termination Access and Export
Unless access was terminated because of unlawful activity, a material security risk, or circumstances where access or export is prohibited by law, we will provide Customers a reasonable post-termination opportunity to export Customer Content.
During the applicable post-termination access period, Customers may export their documents to PDF.
Other export formats may remain available where supported by the Service at that time.
Post-termination access is intended to allow Customers to retrieve their information and is not a continuation of the full paid Service.
Data Deletion
You can delete your account yourself at any time from Account → Security in the app; self-service deletion takes effect immediately and irreversibly removes your account and the Customer Content it owns (subject to the workspace-ownership condition below and to residual copies in backups for a limited period).
Separately, where a workspace terminates or loses access to the Service, then unless a different period is stated in an applicable order form or plan, we may permanently delete Customer Content from active systems beginning 30 days after that event.
Customer Content may remain for a limited additional period in:
- backups;
- logs;
- disaster-recovery systems;
- fraud-prevention records;
- billing records;
- security records; or
- records we are legally required to retain.
Backup copies will be deleted or overwritten according to our ordinary backup-retention processes.
You should export Customer Content you need before the applicable post-termination period expires.
25. Copyright Complaints
DataSheets Pro respects intellectual-property rights.
If you believe material available through the Service infringes your copyright or other intellectual-property rights, please send a written notice to:
DataSheets Pro LLC
36 North Cass Ave, Unit #5102, Westmont, IL 60559
Email: legal@datasheetspro.com
Your notice should include sufficient information for us to identify the allegedly infringing material, understand the basis of your complaint, and contact you.
We may remove or restrict access to allegedly infringing material where appropriate.
We may also suspend or terminate users who repeatedly infringe intellectual-property rights in appropriate circumstances.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
27. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DATASHEETS PRO LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR:

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- (A) THE AMOUNTS PAID OR PAYABLE BY THE CUSTOMER TO DATASHEETS PRO FOR THE SERVICE DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
- (B) $100 IF THE CUSTOMER USED ONLY A FREE SERVICE.
These limitations apply regardless of the legal theory on which a claim is based.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
28. Indemnification
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless DataSheets Pro LLC and its affiliates, officers, employees, contractors, and agents from third-party claims, damages, losses, liabilities, judgments, costs, and reasonable attorneys’ fees arising out of or relating to:
- Customer Content;
- your violation of these Terms;
- your unlawful use of the Service;
- infringement or violation of third-party intellectual-property, privacy, confidentiality, publicity, or other rights;
- documents, representations, certifications, declarations, claims, or instructions you publish or distribute using the Service; or
- your violation of applicable law or regulation.
We will provide reasonable notice of an indemnified claim.
You may control the defense and settlement, provided that you may not enter into a settlement that:
- admits wrongdoing by DataSheets Pro;
- imposes obligations on DataSheets Pro; or
- requires payment by DataSheets Pro
without our prior written consent.
We will provide reasonable cooperation at your expense.
29. Export Controls and Sanctions
You may not use or access the Service in violation of applicable export-control, trade-sanctions, embargo, or similar laws.
You represent that you are not prohibited from receiving the Service under applicable United States sanctions or export laws.
30. Changes to These Terms
We may update these Terms as the Service, our business, or applicable laws change.
When we make material changes, we will update the Effective Date and provide additional notice when appropriate or required by law.
Where required by law, we will obtain additional consent before applying material changes.
Continued use of the Service after updated Terms become effective constitutes acceptance to the extent permitted by law.
Changes to subscription pricing are governed separately by Section 5.
31. Governing Law and Disputes
These Terms and disputes arising out of or relating to them or the Service are governed by the laws of the State of Illinois, without regard to conflict-of-law principles.
Except where applicable law requires otherwise, each party agrees that lawsuits or legal proceedings arising out of or relating to these Terms or the Service will be brought exclusively in:
- the state courts located in DuPage County, Illinois; or
- the United States District Court for the Northern District of Illinois, where federal jurisdiction exists.
Each party consents to the personal jurisdiction of those courts.
Before filing a lawsuit, the parties agree to make a good-faith effort to resolve the dispute informally by providing written notice describing the dispute and allowing at least 30 days for discussion, unless immediate legal relief is reasonably necessary.
Nothing in this section prevents either party from seeking injunctive or equitable relief to prevent unauthorized access, misuse, infringement, security threats, or other immediate harm.
If applicable consumer-protection law gives you rights that cannot legally be waived, nothing in these Terms limits those rights.
32. General Terms
Entire Agreement
These Terms, the Privacy Policy, applicable order forms, and additional written terms expressly incorporated into them constitute the entire agreement regarding the Service.
For Enterprise or separately negotiated Customers, an executed order form, master services agreement, Data Processing Addendum, service-level agreement, or other signed agreement may modify these Terms.
If there is a conflict, the specifically negotiated written agreement controls to the extent of that conflict.
Assignment
You may not assign or transfer these Terms without our prior written consent, except in connection with a permitted corporate reorganization, merger, or sale of substantially all relevant assets where the successor assumes your obligations.
We may assign these Terms in connection with a merger, acquisition, corporate restructuring, financing, or sale of all or substantially all of our business or assets.
Severability
If any provision is found unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be interpreted as closely as legally possible to its intended purpose.
No Waiver
Failure to enforce a provision does not waive the right to enforce it later.
Force Majeure
Neither party is responsible for delay or failure caused by circumstances beyond its reasonable control, including:
- natural disasters;
- government actions;
- war;
- civil unrest;
- labor disruptions;
- widespread internet failures;
- utility failures;
- cyberattacks by third parties; or
- failures of critical third-party infrastructure,
except that this provision does not excuse payment obligations for services already provided.
Relationship of the Parties
The parties are independent contractors.
These Terms do not create a partnership, joint venture, agency, employment, fiduciary, franchise, or similar relationship.
No Third-Party Beneficiaries
Except as expressly provided, no third party has rights under these Terms.
Headings
Headings are provided for convenience and do not affect interpretation.
Survival
Provisions that by their nature should survive termination will survive, including provisions concerning:
- ownership;
- Customer Content rights;
- accrued payment obligations;
- confidentiality;
- disclaimers;
- limitations of liability;
- indemnification;
- dispute resolution; and
- general contractual terms.
